CORPORATE GOVERNANCE BOARD LEADERSHIP TRAINING PROGRAMS - The Effective Board: Composition, Structure, Practices and Procedure

The Effective Board

Board should consider assigning a sufficient number of non-executive board members capable of exercising independent
judgment to tasks where there is a potential for conflict of interest. Examples of such key responsibilities are ensuring the integrity of financial
and non-financial reporting, the review of related party transaction, nomination of board members and key executive and board remuneration.

When committees of the board are established, their mandate, composition and working procedures should be well defined and disclosed by the board.

Board members should be able to commit themselves effectively to their responsibilities.
This module examines the characteristics of an effective board. By this module’s end, participants will be able to:

- Identify the characteristics and benefits of a balanced board
- Define types of directors and their leadership attributes
- Describe good practices in managing board directors’ role, responsibilities, committees, and remuneration.
